1. Acceptance of Terms
By creating an account or using PhaseLynk (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company, you represent that you have authority to bind that company to these Terms.
2. Description of PhaseLynk
PhaseLynk is a workload forecasting and job-tracking platform for specialty trade contractors. It helps companies manage jobs, schedules, field managers, subcontractors, daily reports, time sheets, photos, notifications, and related project information.
3. Account Registration
You must provide accurate information when registering and keep your credentials secure. You are responsible for all activity that occurs under your account. Notify us promptly if you suspect unauthorized access.
4. Company Accounts and User Roles
PhaseLynk is organized around company accounts. Users may be assigned roles such as Admin, Manager, Field Manager, or Subcontractor. Each role has different permissions and visibility within the company workspace.
Admin / Owner Responsibilities
Company Admins and Owners are responsible for managing invitations, role assignments, subscriptions, billing, data retention, and the conduct of users they invite into the workspace. Admins control the workspace data and can add, remove, or modify users and content within their company.
5. Subscriptions, Free Trial, Billing, and Cancellation
- New companies receive a 14-day free trial. No credit card is required to start the trial unless explicitly stated.
- After the trial, continued use requires a paid subscription.
- Subscription fees are billed in advance and are non-refundable except where required by law.
- You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of the current billing period.
- We may change pricing with reasonable advance notice.
6. Acceptable Use
You agree not to:
- Use the Service for unlawful, fraudulent, or harmful purposes.
- Upload malicious code, attempt to breach security, or interfere with the Service.
- Reverse-engineer, scrape, or resell the Service without our written permission.
- Upload content you do not have the right to share.
7. User and Customer Content
You retain ownership of the content you submit to PhaseLynk, including job data, daily reports, photos, time sheets, notes, and uploaded files ("Customer Content"). You grant us a limited license to host, process, display, and back up Customer Content solely to operate and improve the Service for your company.
8. Job Data, Daily Reports, Photos, Time Sheets, and Uploaded Content
You are responsible for the accuracy and legality of Customer Content. Photos and reports may depict job sites, workers, or third parties; you are responsible for ensuring you have any consents or notices required by law before uploading.
9. AI Features and AI-Generated Suggestions
PhaseLynk includes AI-assisted features such as schedule risk summaries, workload suggestions, AI summaries, and daily report cleanup. These features are provided for assistance only. AI output can be incomplete, outdated, or incorrect. You are responsible for reviewing and confirming all AI output before relying on it. PhaseLynkdoes not automatically make business, safety, legal, payroll, or scheduling decisions on your behalf without your review and approval.
10. No Guarantee of Schedule Accuracy
Forecasts, capacity calculations, overload warnings, and schedule risk summaries are estimates generated from the data in your workspace. They are not guarantees. You are responsible for independently verifying schedules, assignments, reports, and any business decisions made using PhaseLynk.
11. Service Availability
We strive to keep the Service available but do not guarantee uninterrupted access. We may perform maintenance, updates, or changes that temporarily affect availability.
12. Third-Party Services
PhaseLynk relies on third-party providers including payment processors (such as Stripe), database and authentication infrastructure (such as Supabase), email delivery providers, and AI providers. Your use of the Service is also subject to those providers' applicable terms, and we are not responsible for outages or actions taken by those providers.
13. Termination or Suspension
We may suspend or terminate accounts that violate these Terms, fail to pay, or pose risk to the Service or other users. You may close your account at any time. Upon termination, access to the Service ends and Customer Content may be deleted in accordance with our data retention practices.
14. Intellectual Property
The PhaseLynk software, brand, designs, and underlying technology are owned by us or our licensors. Except for the limited rights to use the Service granted in these Terms, no intellectual property rights are transferred to you.
15. Disclaimer of Warranties
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
16. Limitation of Liability
To the maximum extent permitted by law, PhaseLynk and its suppliers are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months preceding the claim.
17. Changes to the Terms
We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
